Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Feedz Limited (Company Number: 16140586), a company incorporated under the laws of England and Wales ("Company," "we," "us," or "our"), governing your access to and use of the Feedz mobile application ("Service," "App," or "Platform").
BY ACCESSING, DOWNLOADING, INSTALLING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICE.
2. Definitions
For purposes of these Terms:
"Content" means any text, audio, visual, or other material submitted to or generated by the Service "Feedback" means voice recordings and associated data provided by Users "Reports" means structured documents generated by the Service based on User Feedback "Subscription" means paid access to premium features of the Service "Credits" means the allocated number of Reports a User may generate per billing period
3. Eligibility and Registration
3.1 Age Requirement
The Service is intended for Users who are at least thirteen (13) years of age. Persons under the age of thirteen (13) are prohibited from creating accounts or using the Service.
3.2 Account Registration
To access the Service, you must: (a) Provide accurate, current, and complete registration information; (b) Maintain and promptly update such information; (c) Accept full responsibility for all activities conducted through your account; (d) Promptly notify us of any unauthorized use of your account.
3.3 Legal Compliance Representations
By using the Service, you represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
3.4 Scope of Application
These Terms apply exclusively to individual User accounts. Enterprise and organizational accounts are governed by separate commercial agreements.
4. Service Description and Functionality
4.1 Core Service
The Service provides an artificial intelligence-powered platform enabling Users to: (a) Record voice-based feedback; (b) Convert voice recordings into structured textual reports; (c) Edit and modify generated reports; (d) Export approved reports in portable document format.
4.2 Artificial Intelligence Disclaimer
THE SERVICE UTILIZES ARTIFICIAL INTELLIGENCE TECHNOLOGY TO PROCESS AND STRUCTURE USER CONTENT. AI-GENERATED CONTENT MAY: (a) Interpret, modify, or restructure original User input; (b) Introduce formatting or organizational elements not explicitly provided; (c) Contain inaccuracies, misinterpretations, or errors; (d) Differ substantially from the User's intended meaning or original content.
USERS BEAR SOLE RESPONSIBILITY FOR REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT PRIOR TO DISTRIBUTION OR RELIANCE. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT.
5. Apple App Store Specific Terms
5.1 Apple Relationship Acknowledgment
You and the Company acknowledge that these Terms are concluded between you and the Company only, and not with Apple Inc. ("Apple"). The Company, not Apple, is solely responsible for the Service and the content thereof. These Terms do not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.
5.2 License Scope for Apple Devices
When accessing the Service through Apple's App Store, the license granted to you is limited to a non-transferable license to use the Service on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The Service may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
5.3 Maintenance and Support
The Company is solely responsible for providing any maintenance and support services with respect to the Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Service.
5.4 Warranty and Apple Refunds
The Company is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the Company's sole responsibility.
5.5 Product Claims
You and the Company acknowledge that the Company, not Apple, is responsible for addressing any claims by you or any third party relating to the Service or your possession and/or use of the Service, including but not limited to: (a) product liability claims; (b) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation. These Terms do not limit the Company's liability to you beyond what is permitted by applicable law.
5.6 Intellectual Property Rights
You and the Company acknowledge that, in the event of any third party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, the Company, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
5.7 Third Party Terms Compliance
You must comply with applicable third party terms of agreement when using the Service, including but not limited to your wireless data service agreement and any other applicable service terms.
5.8 Third Party Beneficiary
You and the Company acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these Terms, and that, upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.
6. Subscription Plans and Usage Limitations
6.1 Service Tiers
The Service offers multiple subscription tiers, each providing different monthly Credit allocations for Report generation. Current pricing and feature details are available within the App and on our website.
6.2 Credit System and Limitations
(a) Each subscription tier allocates a specific number of monthly Credits for Report generation; (b) Credits are consumed upon successful Report generation; (c) Voice editing functionality is limited to three (3) modifications per Report across all subscription tiers; (d) Upon exhaustion of monthly Credits, Users cannot generate additional Reports until: (i) The next billing cycle commences and Credits reset; or (ii) The User upgrades to a higher-tier subscription plan, if available; (e) Unused Credits do not carry forward to subsequent billing periods; (f) Credit allocations reset monthly on the User's billing anniversary date.
6.3 Payment and Billing
(a) Subscription fees are charged in advance on a recurring basis (monthly or annually); (b) All payments are processed through third-party payment processors; (c) Users are responsible for maintaining valid payment methods; (d) Subscription renewals occur automatically unless cancelled prior to the renewal date.
7. Acceptable Use and Content Policies
7.1 Prohibited Content
Users are strictly prohibited from creating, uploading, transmitting, or sharing Content that: (a) Contains sexual or sexually explicit material; (b) Involves minors in inappropriate, exploitative, or sexual contexts; (c) Constitutes harassment, bullying, intimidation, or threatening behavior; (d) Contains hate speech, discriminatory language, or promotes discrimination based on protected characteristics; (e) Promotes, incites, or facilitates illegal activities; (f) Depicts, glorifies, or promotes violence or graphic violence; (g) Contains self-harm content, instructions, or encouragement; (h) Violates intellectual property rights of third parties; (i) Contains false, misleading, or defamatory information; (j) Violates applicable laws, regulations, or third-party rights.
7.2 Content Moderation
(a) All User Content is subject to automated content moderation; (b) The Company reserves the right to reject, remove, or refuse to process Content that violates these Terms; (c) Content moderation decisions are made at the Company's sole discretion; (d) The Company may preserve Content for legal compliance or safety purposes.
7.3 Audio Quality Requirements
Users must ensure voice recordings are clear, audible, and intelligible. The Company is not responsible for transcription errors resulting from poor audio quality, background noise, or unclear speech.
8. Intellectual Property Rights
8.1 User Content Ownership
Users retain ownership rights in their original Feedback content. However, Users grant the Company a non-exclusive, worldwide, royalty-free license to process, modify, and generate Reports based on such Content for the purpose of providing the Service.
8.2 Generated Reports
Users own the rights to Reports generated by the Service based on their Feedback, subject to the Company's underlying intellectual property rights in the Service technology and processes.
8.3 Company Intellectual Property
The Service, including but not limited to software, algorithms, user interfaces, trademarks, and proprietary technology, constitutes the Company's intellectual property and is protected by applicable intellectual property laws.
8.4 Minor Data Considerations
When creating Reports involving individuals under eighteen (18) years of age, Users must ensure compliance with applicable privacy laws and obtain necessary parental or guardian consents.
9. Service Availability and Performance
9.1 Service Dependencies
The Service relies on third-party artificial intelligence providers and cloud infrastructure services. Service availability and performance may be affected by third-party service disruptions, maintenance, or technical issues beyond the Company's control.
9.2 Processing Times
Report generation and editing processes may require varying completion times, ranging from seconds to several minutes, depending on system load and third-party service response times.
9.3 Service Interruptions
(a) The Company does not guarantee uninterrupted Service availability; (b) The Company reserves the right to suspend, modify, or discontinue the Service temporarily or permanently for maintenance, updates, or operational reasons; (c) The Company will attempt to provide reasonable advance notice of planned maintenance when feasible.
10. Account Termination and Suspension
10.1 Termination by User
Users may terminate their accounts at any time through the Service interface. Upon termination, all User data stored on Company servers will be permanently deleted in accordance with our Privacy Policy.
10.2 Termination by Company
The Company reserves the right to: (a) Issue warnings for Terms violations; (b) Temporarily suspend accounts pending investigation of suspected violations; (c) Permanently terminate accounts for material breaches of these Terms; (d) Terminate accounts immediately for repeated violations or serious misconduct.
10.3 Effect of Termination
Upon account termination: (a) User access to the Service ceases immediately; (b) All User data stored on Company servers is permanently deleted; (c) Previously shared Reports may remain accessible to third parties with whom they were shared; (d) No refunds or compensation will be provided, except as required by applicable law or platform policies.
11. Payment Terms and Refund Policy
11.1 General Refund Policy
ALL SUBSCRIPTION FEES AND PURCHASES ARE FINAL AND NON-REFUNDABLE UNDER NORMAL CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO: (a) Subscription cancellations; (b) Account terminations or suspensions; (c) Service interruptions or technical issues; (d) User dissatisfaction or change of requirements; (e) Failure to use allocated Credits; (f) Service discontinuation.
11.2 Platform-Specific Refunds
Notwithstanding Section 11.1, refunds may be available through the respective app store or platform (such as Apple App Store or Google Play Store) in accordance with their refund policies and terms of service. Any such refunds are processed directly by the platform and are subject to their policies and procedures.
11.3 Subscription Cancellation
(a) Users may cancel subscriptions at any time through their account settings or through the respective app store; (b) Cancelled subscriptions remain active until the end of the current billing period; (c) No prorated refunds are provided for partial billing periods, except as may be required by applicable platform policies.
12. Disclaimers and Limitations of Liability
12.1 Service Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 Professional Advice Disclaimer
THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL COACHING, COUNSELING, PSYCHOLOGICAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE. USERS SHOULD NOT RELY ON GENERATED REPORTS AS PROFESSIONAL ASSESSMENTS OR RECOMMENDATIONS.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; (b) THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES; (c) THE COMPANY SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Service, violation of these Terms, or infringement of third-party rights.
14. Modifications to Terms and Service
14.1 Terms Modifications
The Company reserves the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use following such modifications constitutes acceptance of the revised Terms.
14.2 Service Modifications
The Company may modify, suspend, or discontinue any aspect of the Service at any time without prior notice. Users acknowledge that features, pricing, and functionality may change.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15.2 Jurisdiction and Venue
Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of England and Wales, and the parties hereby consent to personal jurisdiction and venue therein.
15.3 Dispute Resolution
Prior to initiating formal legal proceedings, parties agree to attempt good faith resolution of disputes through direct communication.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy incorporated herein by reference, constitute the entire agreement between the parties concerning the Service.
16.2 Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Assignment
Users may not assign or transfer rights under these Terms. The Company may assign its rights and obligations without restriction.
16.4 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it subsequently.

17. Effective Date and Acknowledgment
